General Terms
These terms set out the legal relationship between you and Veridara when you access our website or engage our strategic business coaching services. By using our services or site you agree to these terms. If you do not agree, do not use the services.
Eligibility
Access to Veridara services is available to individuals and entities that can form legally binding contracts under applicable law. You must provide accurate information when registering and be authorized to act on behalf of any organization you represent.
Users must be at least 18 years old to create an account or receive coaching services from Veridara. If you are acting on behalf of a minor, ensure you have appropriate parental or guardian consent.
You agree to use Veridara services lawfully and not for any activities that violate applicable laws or infringe others' rights. Prohibited uses include fraudulent activities, harassment, and unauthorized data collection.
Veridara operates from Canada and provides services in jurisdictions where permitted by law. Access may be restricted in certain countries; users are responsible for compliance with local laws where they access the service.
Account and Access
Some Veridara services require account creation. You are responsible for maintaining confidentiality of account credentials and for all activities under your account.
You must provide current, complete, and accurate registration and contact information and update it as necessary. Veridara may suspend access if information is inaccurate or fraudulent.
Protect your account by using strong passwords and securing access credentials. Veridara implements administrative and technical safeguards, but cannot ensure absolute security of transmitted or stored data.
Accounts are personal and may not be transferred, sold, or assigned without Veridara’s prior written consent.
If you suspect unauthorized access to your account, notify Veridara immediately at the contact details provided. Timely reporting helps reduce risks and allows us to take protective measures.
Veridara may suspend or terminate accounts that violate these terms, present security risks, or engage in unlawful conduct. We will notify affected users where feasible.
Services
Veridara offers strategic business coaching, workshops, assessments, and related advisory services. Service descriptions, deliverables, and any timelines are set out in proposals or service agreements.
Service features and offerings may be revised from time to time. Veridara will communicate substantive changes to active clients and provide options as required by the applicable agreement.
Veridara strives to make services available as scheduled but availability may be affected by factors outside our control, such as third-party platform outages or unforeseen events.
Usage Rules
While using Veridara services and the website, you agree to comply with the following rules to maintain a safe and productive environment.
- Do not engage in harassment, abusive conduct, or discrimination toward Veridara staff or other clients.
- Do not submit content that is unlawful, defamatory, or infringes third-party rights.
- Do not attempt to gain unauthorized access to Veridara systems or interfere with service operations.
- Use materials provided by Veridara only for their intended business purposes and respect any usage restrictions.
- Provide accurate information when interacting with Veridara and refrain from misrepresentation.
- Comply with intellectual property notices and attribute third-party content where required.
- Follow instructions from Veridara facilitators and respect confidentiality agreements during coaching and workshops.
User Content
User content means any text, documents, ideas, or other materials you provide to Veridara in connection with services. You retain ownership of your user content unless otherwise agreed.
By submitting content to Veridara, you represent that you have the right to share it and that doing so does not violate third-party rights or applicable law.
You grant Veridara a non-exclusive, royalty-free license to use, reproduce, and distribute your content in order to provide coaching services and internal operations. Any broader use will be subject to separate agreement.
You are responsible for the content you submit. Veridara is not liable for third-party claims arising from user-provided content unless caused by Veridara’s intentional misconduct.
Veridara may remove or limit access to user content that violates these terms or applicable law. Requests to remove content will be evaluated and acted upon in line with legal obligations.
Intellectual Property
All intellectual property rights in Veridara’s proprietary materials, methodologies, templates, and content remain the property of Veridara or its licensors. Use of such materials is subject to the terms of any license provided.
- Do not reproduce or distribute Veridara’s proprietary materials except as permitted in writing.
- Do not decompile, reverse engineer, or otherwise attempt to derive source materials from Veridara’s proprietary tools.
- Respect third-party intellectual property rights and obtain necessary permissions for any content you provide.
Paid Services
Paid services include one-on-one coaching, group programs, subscriptions, and workshops. Fees and specific terms are set out in service agreements or invoices.
Prices for Veridara services are provided in proposals or on the site and may vary based on scope, delivery format, and client requirements. Quotes remain valid for the period stated.
Payments must be made by the methods specified in your invoice or agreement. Veridara will confirm receipt and provide invoices for services rendered.
Subscription services are billed according to the subscription terms. Cancellation or changes to subscriptions follow the procedures set out at signup or in the service agreement.
Refunds, if any, are handled in accordance with the specific terms of the service agreement. Where partial refunds are applicable, they will be processed in a timely manner following verification.
Cancellation policies for engagements are specified in contracts. Where notice periods apply, clients should provide written notice as outlined in their agreement with Veridara.
Applicable taxes and duties are the responsibility of the client unless otherwise stated. Veridara will invoice taxes in accordance with relevant tax laws.
Veridara may update pricing for future services, with advance notice to existing clients where appropriate. Price changes do not affect fees already agreed in a binding contract.
Late payments may result in suspension of services. Veridara reserves the right to pursue outstanding amounts and take actions permitted by law and contract terms.
Disclaimer
Information and coaching provided by Veridara are for business development and strategic planning purposes. Outcomes depend on many factors including client execution and market conditions; results may vary and are not assured by Veridara.
Limitation of Liability
To the maximum extent permitted by law, Veridara’s liability for direct damages arising from use of services is limited to amounts paid by the client for the specific service in question. Veridara is not liable for indirect, special, or consequential losses.
Third-Party Services
Veridara may integrate or recommend third-party tools and services. Use of third-party services is subject to the third party’s terms and policies. Veridara is not responsible for third-party performance or content.
Termination
Either party may terminate a service agreement according to the termination provisions set out in the applicable contract. Termination does not affect accrued rights or obligations.
Upon termination, outstanding fees remain payable and either party may be required to return confidential information. Provisions intended to survive termination, such as confidentiality and liability clauses, will remain in effect.
Privacy
Veridara processes personal data in accordance with the privacy policy. By using our services you consent to the collection and use of personal data as described in that policy.
Communications
You consent to receive service-related communications electronically. Where marketing communications are sent, you will be offered a clear opt-out mechanism.
Changes to Terms
Veridara may update these terms from time to time. Material changes will be communicated to active clients. Continued use of services after changes indicates acceptance of the revised terms.
Governing Law
These terms are governed by the laws of the Province of Ontario, Canada, without regard to its conflict of laws principles, except where mandatory local law provides otherwise for specific consumers.
Dispute Resolution
Parties will seek to resolve disputes through good-faith negotiation. If unresolved, disputes may be subject to mediation or legal proceedings in Ontario courts as specified in the service agreement.
